This document is an official offer (public offer) of the international online shop ‘YU-ME’, registered in the Republic of Uzbekistan, hereinafter referred to as the ‘Seller’, to conclude a contract of sale of goods by remote method on the Public offer set out below.
1. Terms and definitions
1.1 Offer – this document ‘Public offer’ on the sale of goods by remote method, published on the website of the online shop ‘YU-ME’ at: https://yunona-merkuriy.com/.
1.2 Acceptance of the offer – full and unconditional acceptance by the Buyer of the Public offer of the Offer by clicking the ‘Accept’ button and placing an order on the Seller’s website.
1.3. Seller – Limited Liability Company ‘Yunona-Merkuriy’, registered in accordance with the laws of the Republic of Uzbekistan, selling goods through the online shop.
1.4. Buyer – an individual or legal entity authorised to enter into sale and purchase agreements in accordance with the legislation, which has made an Acceptance of the offer on the Public offer set out therein.
1.5. Online shop – the Seller’s official website at the address: https://yunona-merkuriy.com/, intended for conclusion of retail sale contracts based on the Buyer’s familiarisation with the description of the Goods offered by the Seller.
1.6. Goods – a range of products offered for sale on the website of the Online Store, including but not limited to: electronics, clothing, accessories, household appliances and other consumer goods.
2. General Provisions
2.1 This Offer is a public offer in accordance with Article 426 of the Civil Code of the Republic of Uzbekistan.
2.2 Placement of information about the Goods on the website of the Online Store is an offer to conclude a sales contract on the Public offer of this Offer.
2.3 This Offer regulates the relationship between the Seller and the Buyer on the purchase and sale of Goods by remote method.
2.4 The Seller reserves the right to make changes in this Offer without prior notice to the Buyer. The new edition of the Offer comes into force from the moment of its placement on the website of the Online Store.
3. Subject of the contract
3.1 The Seller undertakes to transfer into the ownership of the Buyer the Goods selected in the Online Shop, and the Buyer undertakes to pay for and accept the Goods on the terms of this Offer.
3.2 This Agreement governs the purchase and sale of the Goods in the Online Store, including: (1) the Buyer’s voluntary selection of the Goods in the Online Store; (2) the Buyer’s independent placement of the order in the Online Store; (4) the Buyer’s payment for the order placed in the Online Store; (5) the processing and delivery of the order to the Buyer’s property on the terms of this Offer.
4. Order of acceptance of the Offer
4.1 Acceptance of the offer is carried out by the Buyer by successive performance of the following actions: (1) familiarisation with the Public offer of this Offer; (2) filling in the order form for the Goods on the website of the Online Store; (3) clicking the ‘Accept’ button and confirming the order.
4.2 From the moment of Acceptance of the Offer, the Buyer shall be deemed to have familiarised and agreed with the Public offer of this Offer.
5. Order placement procedure
5.1 The Buyer shall independently place an order for the Goods in the Online Shop by adding the selected items to the ‘Basket’ and then filling in the order form.
5.2 When placing an order, the Buyer undertakes to provide the following reliable data:
Full Name;
Contact telephone number;
Email address;
Goods delivery address.
5.3 The Buyer is responsible for the accuracy and reliability of the information provided.
5.4 After placing an order, the Seller confirms the order by sending a message to the Buyer’s e-mail or by calling the specified contact phone number.
6. Price of the Goods and payment procedure
6.1 The price of the Goods is indicated on the website of the Online Shop and includes all taxes and fees in accordance with the legislation of the Republic of Uzbekistan.
6.2 The Seller has the right to change the price of the Goods unilaterally. In this case, the price for the ordered and paid Goods is not subject to change.
6.3 Payment for the Goods shall be made in the national currency of the Republic of Uzbekistan – Uzbek sum, or in foreign currency, if it is provided for by the legislation and payment terms specified on the website.
6.4 Methods of payment for the Goods:
– Payment by online bank card (Visa, MasterCard, etc.);
– Payment via payment systems (PayPal, etc.);
– Cashless payment for legal entities;
– Other payment methods specified on the website of the Online Store.
6.5 The moment of payment is considered the withdrawal of funds from the Buyer’s account.
7. Delivery of the Goods
7.1 Delivery of the Goods is carried out worldwide by the methods specified on the website of the Online Shop, including postal and courier services.
7.2 Delivery time depends on the chosen method of delivery and location of the Buyer and is calculated individually when placing an order.
7.3 The cost of delivery is calculated automatically when placing an order and depends on the weight, dimensions of the Goods and delivery region.
7.4 The Seller is not responsible for delivery delays due to the fault of transport companies or customs authorities.
8. Transfer of Goods
8.1 The risk of accidental loss of or damage to the Goods passes to the Buyer from the moment the Goods are handed over to the carrier or directly to the Buyer.
8.2 Upon receipt of the Goods, the Buyer is obliged to check the integrity of the packaging and conformity of the Goods to the order.
8.3 In case of damage or inconsistency of the Goods, the Buyer has the right to refuse to accept the Goods and demand their replacement or refund of the paid amount.
9. Return and exchange of goods
9.1 The Buyer has the right to refuse the Goods of proper quality within 14 days from the moment of their receipt, provided that they retain their trade dress, consumer properties, factory labels and seals.
9.2 The return of the Goods of improper quality is carried out in accordance with the legislation of the Republic of Uzbekistan.
9.3 To make a return or exchange of the Goods, the Buyer shall contact the Seller at the contact details specified in Section 17 of this Offer.
9.4 The Buyer shall bear the costs of returning the Goods of proper quality.In case of returning the Goods of improper quality, the costs shall be borne by the Seller.
10.Warranty
10.1 All Goods are covered by the manufacturer’s warranty in accordance with the conditions specified in the warranty card or on the packaging of the Goods.
10.2 The warranty period shall be calculated from the moment the Goods are handed over to the Buyer.
10.3 If any defects are detected during the warranty period, the Buyer has the right to demand repair of the Goods, their replacement or refund of the paid amount.
11. Responsibility
11.1 The Parties shall be liable for failure to fulfil or improper fulfilment of obligations under this Offer in accordance with the current legislation of the Republic of Uzbekistan, EU and PRC.
11.2 The Seller shall not be liable for any damage caused to the Buyer due to improper use of the Goods.
11.3 The Seller shall not be liable for the Buyer’s losses resulting from:
– incorrect specification of personal data;
– unlawful actions of third parties.
12. Privacy and data protection
12.1 The Seller shall process the Buyer’s personal data in accordance with the Act of the Republic of Uzbekistan ‘On Personal Data’.
12.2 The purpose of personal data processing: fulfilment of obligations under this Offer, informing the Buyer about new products and promotions, conducting marketing research.
12.3 Personal data shall not be transferred to third parties, except as required by law or necessary for the fulfilment of obligations to the Buyer.
12.4 The Buyer has the right to request the deletion or modification of his/her personal data by contacting the Seller at the contact details specified in Section 17.
13. Force Majeure
13.1 The Parties shall be released from liability for full or partial non-fulfilment of obligations under this Offer, if it was the result of force majeure circumstances (force majeure) that arose after the conclusion of the Offer.
13.2 Force majeure circumstances include: natural disasters, military actions, civil disturbances, epidemics, actions of state authorities and other circumstances beyond the control of the Parties.
14. Disputes
14.1 All disputes and disagreements arising in connection with this Offer shall be resolved through negotiations between the Parties.
14.2 In case of failure to reach an agreement, the dispute shall be considered in court at the location of the Seller in accordance with the laws of the Republic of Uzbekistan.
15. Intellectual Property
15.1 All objects available on the site of the Internet-shop ‘YU-ME’, including design elements, text, graphics, illustrations, video, programmes, databases and other objects, are the objects of exclusive rights of the Seller or right holders.
15.2 The use of the elements of the site content without the Seller’s consent is prohibited.
16. Final provisions
16.1 This Offer comes into force from the moment of its publication on the website of the Online Store and is valid until its withdrawal by the Seller.
16.2 The Seller has the right to make changes to this Offer unilaterally. Changes come into force from the moment of their publication on the website of the Online Store.
16.3 By accepting this Offer, the Buyer confirms its agreement with all its Public offer without exceptions and additions.
16.4 The invalidity of any provision of this Offer does not entail the invalidity of the remaining provisions.
